State of New York Executive
Department Office of General Services - Procurement
Services Group has awarded Lease vehicles
Contract #21054 to Acme Auto Leasing, LLC as of November
8, 2007. This contract is for the lease of Model Year
2008 cars, vans, pickups and sport utility vehicles
for use by State agencies, including the State University
of New York and others authorized by New York State
law.
Acme has managed Contracts with the State of New York
since 1998.
Prices shown are maximum rates for present contract vehicles. Discounts
may be available.

and Conditions:
Listed below are key items for New York State Contract Group
40490.
Acme Auto Leasing, LLC Fed.

| 1. |
Acme
has been awarded the New York statewide leasing contract
for the vehicles above. Contract is a closed-end lease.
Karrie-Linn
Velms will be ACMES contact with all Lessees
under this contract. |
| 2. |
The
authorized lessees will be the State of New York, related
Agencies, NYS Political Subdivisions including the following:
a. Local governments
b. Public Authorities
c. Public School and Fire Authorities
d. Certain Non-public/Non-profit organizations |
| 3. |
Acme
must honor all orders from State Agencies, Political
Sub-Divisions, and others authorized by law in compliance
with price, terms and conditions as shown in the contract. |
| 4. |
Delivery
of vehicles must be made within a certain number of
days from receipt of purchase order. |
| 5. |
Delivery
Charges and Charges for Add-on equipment, requested
by Lessee to basic vehicle as listed in contract, will
be paid by Lessee to ACME upon delivery of vehicle. See Delivery Allowance Schedule (DAS). |
| 6. |
Contract
will be for 2008 Model year. Acme is to notify NYS Office
of General Services 2 weeks before build-out dates of
each vehicle. This will be posted on Acme's website
as well. |
| 7. |
Term
will be 36 months at established fixed price based on
20,000 miles per year (see attached vehicle list). |
| 8. |
The
lessee will have right to pay additional monthly amount
for 10,000 additional miles per year. (See attached
vehicle list). |
| 9. |
Excess
mileage usage will be charged at $ .15/mile at lease end (60,000 or 90,000 if additional mileage option purchased). |
| 10. |
Each
New York State purchase order must bear the approval
stamp of the Division of Statewide Vehicle Management
(Political Sub-Divisions are not covered under this
requirement). |
| 11. |
The state has a self-insurance program. Authorized users
will be responsible for providing necessary insurance.
The state or political subdivision will be responsible
for loss of damage except for normal wear and tear or
negligence of Acme. |
| 12. |
Lessee
shall keep and maintain each vehicle in proper operating
condition. Each agency or political subdivision shall
be responsible for performance of all service maintenance
and repair (except items covered under basic manufacturers
warranty). Lessee shall provide
all gas and oil necessary for operation of vehicle and
in order to maintain validation of vehicle warranty. |
| 13. |
Lessor
is responsible for all titling and registrations costs
during contract (state agency leasing only). |
| 14. |
Early
Termination Terms. Contact Acme personnel
for termination penalty provisions.
Lessee may terminate the lease by notifying the Lessor at any time after making twelve (12) monthly rental payments therein of their intentions to terminate upon thirty (30) days prior written notice (certified mail) to the Lessor.
The Lessee is responsible for returning the vehicle to the Lessor's place of business.
On the date of termination, the Lessee shall be responsible for the following:
Any outstanding payments or payments through the date of termination which will bring the account to a current status.
Any excess mileage prorated to the date of early termination and in accordance with the mileage allowance of the contract.
All remaining lease payments to the end of the 36 month lease.
Any charges for excess wear and tear and damage attributed from abuse or neglect.
The Lessee is not released from the terms and conditions of said lease until all requirements of these terms have been met. |
